TERM OF CONTRACT
THE ANTICIPATED EFFECTIVE DATE AND EXPIRATION DATE OF THE CONTRACT ARE
SHOWN ON THE FRONT OF THIS SOLICITATION. IF AWARD HAS NOT BEEN MADE BY
THE ANTICIPATED EFFECTIVE DATE, THEN THE CONTRACT SHALL BECOME
EFFECTIVE UPON THE DATE THE BID IS ACCEPTED AND CONTRACT AWARDED BY
THE STATE, AS INDICATED BY THE PURCHASING AGENT'S SIGNATURE ON THE
CONTRACT NOTICE OF AWARD (NOTE: THE CHANGE OF EFFECTIVE DATE MAY NOT
RESULT IN A CHANGE OF THE ANTICIPATED EXPIRATION DATE.)
RENEWAL OPTIONS: THIS CONTRACT MAY BE RENEWED UPON SATISFACTORY
COMPLETION OF THE INITIAL CONTRACT TERM. THE STATE RESERVES THE RIGHT
TO EXECUTE UP TO 4 OPTIONS TO RENEW THIS CONTRACT ANNUALLY UNDER THE
SAME TERMS AND CONDITIONS FOR A PERIOD NOT TO EXCEED 12 MONTHS EACH BY
THE STATE. IT IS MUTUALLY UNDERSTOOD AND AGREED THAT THE STATE'S
COMMITMENT IS LIMITED TO A BASE TERM CONTRACT, NOT TO EXCEED TWELVE
(12) MONTHS, WHICH IS SUBJECT TO RENEWAL ANNUALLY AT THE STATE'S SOLE
OPTION.
IT IS UNDERSTOOD AND AGREED THAT THE STATE RESERVES THE RIGHT TO
EXTEND THE TERM CONTRACT PERIOD RESULTING FROM THIS SOLICITATION AN
ADDITIONAL PERIOD OF TIME, NOT TO EXCEED 180 DAYS BEYOND THE NORMAL
EXPIRATION DATE OF SUCH CONTRACT, UPON MUTUAL WRITTEN AGREEMENT BY
BOTH PARTIES, UNDER THE SAME TERMS AND CONDITIONS. PROVIDED, HOWEVER,
IN NO EVENT SHALL THE MAXIMUM TERM OF A CONTRACT EXCEED A TOTAL OF
SIXTY (60) MONTHS.

WHEN REQUESTED, ORDERS FOR THE VENDOR'S STANDARD QUICK SHIP ITEMS
AMOUNTING TO $100,000.00 OR LESS SHALL BE DELIVERED WITHIN APPROXI-
MATELY TWELVE (12) DAYS AFTER RECEIPT OF A FULLY DEFINED PURCHASE
ORDER. ALL ORDERS REGARDLESS OF SIZE MUST BE DELIVERED WITHIN NINETY
(90) DAYS AFTER RECEIPT OF AN ORDER OTHER THAN THE ABOVE MENTIONED
QUICK SHIP ITEMS TOTALING LESS THAN $100,000.00.
THE MANUFACTURER'S CATALOG MUST CONTAIN A BROAD RANGE OF QUICK SHIP
ITEMS, AVAILABLE AT THE SAME PERCENTAGE (%) (DISCOUNT/SURCHARGE) AS
SUBMITTED WITH THIS ITB. PRICES MAY NOT BE INCREASED BECAUSE THEY ARE
QUICK SHIP ITEMS.
ALL QUICK SHIP ITEMS MUST BE CLEARLY IDENTIFIED AND SUBMITTED WITH THE
INVITATION TO BID.
1) STANDARD DELIVERY (INCLUDING QUICK SHIP ORDERS OVER $100,000) TO BE
WITHIN A MAXIMUM OF 90 DAYS.
2) ALL QUICK SHIP ORDERS UNDER $100,000 TO BE DELIVERED WITHIN A
MAXIMUM OF 12 DAYS.
FIXED BID PERCENTAGES AND FLAT FEES (NO PRICE INCREASE ALLOWED)
THE FLAT FEE AND PERCENTAGE BID FOR EACH LINE ITEM IS FIXED FOR THE
TERM OF THE CONTRACT; HOWEVER, REQUESTS FOR PRICE CHANGES THAT ARE
BASED UPON CATALOG PRICE LISTS WILL BE REVIEWED WHERE IN ACCORDANCE
WITH SPECIAL TERMS AND CONDITIONS 11 AND 12.
FIRM BID PRICE PERIOD (PRICE INCREASE ALLOWED AFTER TIMEFRAME)
CATALOG PRICES MUST BE FIRM FOR 365 DAYS FOLLOWING THE DATE OF THE
AWARD, EXCEPT THE STATE SHALL BE ADVISED OF, AND RECEIVE THE BENEFIT
OF, ANY PRICE DECREASE IN EXCESS OF FIVE (5) PERCENT AUTOMATICALLY.
THE VENDOR/CONTRACTOR MUST PROVIDE WRITTEN PRICE REDUCTION INFORMATION
WITHIN TEN (10) DAYS OF ITS EFFECTIVE DATE.
FIXED BID PERCENTAGE FOR THE TERM OF THE CONTRACT (NO PERCENTAGE
CHANGE ALLOWED)
PRICES LISTED IN AWARDED PUBLISHED CATALOG, PRICE LISTS OR PRICE
SCHEDULE SHALL REMAIN FIRM FOR ____ DAYS FOLLOWING THE DATE OF AWARD,
EXCEPT THE STATE SHALL BE ADVISED OF, AND RECEIVE BENEFIT OF, ANY
PRICE DECREASE IN EXCESS OF FIVE(5) PERCENT, AUTOMATICALLY. THE
VENDOR/CONTRACTOR MUST PROVIDE WRITTEN PRICE REDUCTION INFORMATION
WITHIN TEN(10) DAYS OF ITS EFFECTIVE DATE.
REQUESTS FOR PRICE CHANGES BASED ON CATALOG PRICE LISTS
WRITTEN REQUESTS FOR PRICE CHANGES ON TERM CONTRACTS BASED ON CATALOG
OR PRICE LISTS MAY BE SUBMITTED IN WRITING AFTER THE FIRM PRICE
PERIOD. THE REQUEST MUST INCLUDE COPIES OF THE NEW PRICE LISTS OR
CATALOG THAT REFLECT A CHANGE IN THE CONTRACT HOLDER'S COST, MUST NOT
CONSTITUTE AN INCREASE IN PROFIT AND SHALL APPLY TO ALL VENDOR'S
CUSTOMERS INDUSTRY WIDE.
IN ORDER FOR PURCHASING DIVISION TO APPROVE THE CONTRACT HOLDER'S
REQUEST FOR A PRICE INCREASE, ITS NEW BID PRICE(S) MUST STILL BE THE
LOW BID MEETING SPECIFICATIONS; THIS WILL BE DETERMINED BY USING THE
ORIGINAL EVALUATION MODEL WITH THE PRICES FROM THE NEW PRICE LIST.
IF THE CONTRACT HOLDERS' NEW BID PRICE IS HIGHER THAN THE NEXT LOW
BIDDER, PURCHASING DIVISION WILL EVALUATE THE NEXT LOW BID TO
DETERMINE IF IT MEETS SPECIFICATIONS AND IF SO, WILL ASK IF THE NEXT
WILL ASK IF THE NEXT LOWE BIDDER IS WILLING TO HONOR ITS BID PRICES
FOR POSSIBLE RE-AWARD. IF THE NEXT LOW BIDDER AGREES TO HONOR ITS BID
PRICE AND WILL HOLD IT FOR THE FIRM BID PRICE PERIOD FOLLOWING AWARD,
PURCHASING DIVISION WILL APPRISE THE CONTRACT HOLDER OF THE SITUATION
AND ASK IF IT WANTS TO CONTINUE WITH ITS PRICE INCREASE REQUEST OR
WITHDRAW ITS PRICE INCREASE REQUEST. IF THE CONTRACT HOLDER STATES
THAT IT WANTS TO CONTINUE WITH ITS REQUEST FOR A PRICE INCREASE,
PURCHASING DIVISION WILL RECOMMEND CANCELLATION OF THE CONTRACT AND
RE-AWARD TO THE NEXT LOW BIDDER.
AT THE OPTION OF THE STATE, (1) REQUEST MAY BE GRANTED, (2) THE
CONTRACT MAY BE CANCELED AND AWARDED TO THE NEXT LOW BIDDER, (3) THE
CONTRACT MAY BE CANCELED AND THE COMMODITY/SERVICE BE READVERTISED FOR
AWARD, OR (4) CONTINUE THE CONTRACT WITHOUT CHANGE.
THE PURCHASING DIVISION WILL ACCEPT OR REJECT ALL SUCH WRITTEN
REQUESTS WITHIN FORTY-FIVE (45) WORKING DAYS OF THE DATE OF RECEIPT OF
COMPLETE AND VERIFIED DOCUMENTATION.
APPROVAL OF PRICE INCREASES
IF APPROVED, THE PURCHASING DIVISION WILL MODIFY THE CONTRACT TO
REFLECT THE APPROVED PRICE INCREASE, PRINT AND MAIL THE REVISED
CONTRACT. APPROVAL OF ANY PRICE INCREASE RENEWS THE FIRM PRICE PERIOD.
THE CONTRACT HOLDER SHALL HONOR ALL PURCHASE ORDERS DATED PRIOR TO
THE APPROVED PRICE INCREASE ACCEPTANCE DATE AT THE ORIGINAL CONTRACT
PRICE. UPON REQUEST FROM USER AGENCIES, THE CONTRACT HOLDER WILL BE
REQUIRED TO FURNISH THE APPROVED CATALOG, PRICE SCHEDULE OR PRICE
LIST AT NO CHARGE.
PRICE INCREASE REJECTION
WHEN THE STATE REJECTS A REQUEST FOR A PRICE INCREASE, THE
CONTRACT HOLDER WILL BE NOTIFIED IN WRITING OF THE STATES INTENTION
PRIOR TO THE FIRST OF THE FOLLOWING MONTH. IF THE CONTRACT IS TO BE
CANCELED, THE CONTRACT HOLDER WILL BE REQUIRED TO HONOR ALL PURCHASE
ORDERS THAT WERE PREPARED AND DATED PRIOR TO THE DATE OF THE
TERMINATION, IF RECEIVED BY THE CONTRACT HOLDER WITHIN A PERIOD OF
THIRTY (30) DAYS FOLLOWING THE DATE OF TERMINATION.
REPORTS - PROVIDED UPON REQUEST
THE SUCCESSFUL BIDDER SHALL BE REQUIRED TO SUBMIT REPORTS IN EXCEL
FORMAT TO THE PURCHASING AGENT LISTED ON THE AWARDED CONTRACT UPON
REQUEST. THE REPORTS WILL PROVIDE STATISTICAL DATA ON ALL PURCHASES
MADE FROM THE AWARDED CONTRACT BY STATE AGENCIES. IF THE BIDDER
EXTENDED THE BID OFFER TO LOCAL GOVERNMENTS AND AUTHORIZED NON-PROFIT
AGENCIES, THE REPORTS WILL ALSO PROVIDE STATISTICAL DATA ON ALL
PURCHASES MADE FROM THE AWARDED CONTRACT BY LOCAL GOVERNMENT UNITS AND
AUTHORIZED NON-PROFIT AGENCIES PURSUANT TO THE APPLICABLE TERM LOCATED
IN THE INVITATION TO BID DOCUMENT TITLED "PURCHASES BY LOCAL
GOVERNMENT AND AUTHORIZED NON-PROFIT AGENCIES."

OPEN OFFICE LANDSCAPE GENERAL SPECIFICATIONS
1. THESE SPECIFICATIONS DESCRIBE THE STATE OF TENNESSEE'S REQUIREMENT
FOR NEW FREESTANDING MOVEABLE WORK STATIONS OF THE OPEN OFFICE
LANDSCAPE TYPE CONSISTING OF CONNECTING PANELS AND ATTACHABLE
COMPONENTS, TABLES AND CHAIRS. DUE TO CONTINUAL DEPARTMENTAL
CHANGES AND RE-LOCATIONS, STATE DESIRES WORK STATIONS THAT CAN BE
EASILY RECONFIGURED AND CAN RESPOND TO A WIDE VARIETY OF FUNCTIONS
WITH A MINIMAL NUMBER OF PARTS. THE MINIMUM ACCEPTABLE REQUIREMENT
FOR A VENDOR'S PRODUCT LINE; DESIGN; STYLE; MATERIALS; WORKMANSHIP;
PERFORMANCE; SAFETY AND SERVICES ARE SET FORTH HEREIN.
ALL POTENTIAL PRODUCTS ARE TO BE FURNISHED AND ASSEMBLED AS A MODEL
OFFICE CONFIGURATION AT A DESIGNATED LOCATION AT A TIME AND DATE TO
BE SPECIFIED FOR PRE-QUALIFICATION PURPOSES.
2. ALL PRODUCTS SHALL BE WARRANTED BY THE MANUFACTURER FOR TEN (10)
YEARS FROM DATE OF DELIVERY.THIS WARRANTY SHALL INCLUDE DEFECTS IN
MATERIALS AND CRAFTSMANSHIP. THE STATE SHALL TAKE ADVANTAGE OF ANY
EXCESS WARRANTY OFFERED BY THE MANUFACTURER.
3. ALL PRODUCTS SHALL BE TESTED IN ACCORDANCE WITH THE APPLICABLE
REQUIREMENTS. RESPONSIVE BIDDERS ARE REQUIRED TO PROVIDE ONE (1)
COMPLETE SET OF EACH APPLICABLE TEST REPORT WITH THEIR BID
SUBMITTAL TO VERIFY THAT THE PROPOSED ITEMS MEET OR EXCEED MINIMUM
TEST RESULTS. TEST REPORTS SHALL NOT BE MORE THAN THREE (3) YEARS
OLD AT THE TIME OF BID SUBMITTAL AND SHALL SPECIFICALLY CITE THE
DATE OF THE TEST RESULTS. TEST RESULTS FROM THE MANUFACTURER OR A
CERTIFIED TESTING LABORATORY ARE ACCEPTABLE. SHOULD THERE BE ANY
RESULTANT DISCREPANCY BETWEEN THE FOLLOWING LISTED PUBLICATIONS

1. ALL PANELS SHALL BE MONOLITHIC TYPE (I.E. ONE PIECE PANEL FACE).
ALL PANELS AND COMPONENTS SHALL BE OF A DESIGN, MATERIAL AND
WORKMANSHIP TO WITHSTAND HARD DAILY USAGE OVER AN EXTENDED LIFE
WITH A MINIMUM OF MAINTENANCE AND REPAIR. ALL PANELS SHALL STAND
ERECT AND REST FIRMLY ON THEIR BASES TO ASSURE SAFETY, GOOD
APPEARANCE, A STABLE STATIONARY WORK STATION, AND WARRANTED FOR

RECEPTACLES ARE TO MEET ALL APPLICABLE UL REQUIREMENTS.
6. ACCEPTABLE QUALITY STANDARDS FOR PANEL FABRICS AND COMPONENT
FABRICS WILL BE VENDOR'S LOWEST QUALIFYING GRADE THAT MEET ALL
CRITERIA STATED HEREIN.
NOTE: A. IF TESTING OF FABRIC OR ANY OTHER COMPONENT IS REQUIRED
TO DETERMINE ACCEPTABILITY, THE COST WILL BE BORNE BY
THE BIDDER. IF ITEMS HAVE BEEN PREVIOUSLY TESTED BY THE
MANUFACTURER, SUCH RESULTS MUST BE PROVIDED BY THE
BIDDER.
B. MANUFACTURER TO HAVE A RANGE OF PANEL FABRICS IN A
MINIMUM OF SIX (6) PATTERNS, COLORS, GRADES AND STYLES.
SAMPLES OF FABRICS AND SPECIFICATIONS SHALL BE PROVIDED
AT THE PRE-QUALIFICATION INSTALLATION. AFTER AWARD, AND
AS THE SITUATION DICTATES, THE DIVISION OF REAL PROPERTY
ADMINISTRATION, DEPARTMENT OF FINANCE AND ADMINISTRATION
WILL SELECT FABRICS, COLORS AND GRADES TO BE USED FROM
THE SUCCESSFUL BIDDER.
7. BIDDERS SHALL HAVE IN THEIR PRODUCT LINE, TWO-SIDED ACOUSTICAL
PANELS WHICH HAVE A MINIMUM NRC RATING OF .65 AND A MINIMUM STC
RATING OF .14, AS TESTED IN ACCORDANCE WITH ASTM-C-423, AND SHALL
UTILIZE THESE PANELS WHERE ACCOUSTICAL PANELS ARE CALLED FOR IN
THE EVALUATION MODEL. THE BIDDER MUST PROVIDE A COPY OF THE
APPROPRIATE TEST RESULTS.
8. THE STRUCTURE OF THE PANEL SYSTEM AND COMPONENTS IS TO HAVE A
MINIMUM TEN (10) YEAR MANUFACTURER'S WARRANTY. BIDDERS ARE TO
PROVIDE WARRANTY DOCUMENTATION WITH THEIR PRE-QUALIFICATION
INSTALLATION.
9. ALL SURFACES SHALL RESIST STAIN AND BE EASILY CLEANED.
10. THE PANEL SYSTEM SHALL INCORPORATE HANGER RAILS WHICH ALLOW
COMPONENTS TO BE SUSPENDED AT A MAXIMUM 1-1/2" VERTICALLY.
11. ALL PANELS SHALL HAVE A DEVICE TO MAKE PANELS PLUMB AND LEVEL TO
ACCOMODATE FLOORS WHICH ARE NOT LEVEL.

CONTRACT, THE STATE REQUIRES A MINIMUM OF TWO (2) DESIGNERS
BE ON THE VENDOR'S STAFF, WITH A MINIMUM OF ONE (1) DESIGNER
AVAILABLE TO WORK ON STATE PROJECTS IMMEDIATELY UPON CONTRACT
AWARD. THE VENDOR'S PLACE OF BUSINESS IN MIDDLE TENNESSEE IS
TO BE NO MORE THAN 50 MILES FOR ONE (1) HOUR DRIVE AWAY FROM
REAL PROPERTY ADMINISTRATION'S OFFICE, AT W.R. SNODGRASS,

D. SPACE PLANNING/INTERIOR DESIGN:
FLOOR PLANS SHOULD INDICATE LOCATION OF ALL EXISTING STRUCT-
URAL ELEMENTS AND ANY REQUIRED NEW CONSTRUCTION. IF REQUIRED
BY REAL PROPERTY ADMINISTRATION, DEPARTMENT OF FINANCE AND

COLORS, HARDSURFACE, ACOUSTICAL, FABRIC, AND OPEN FRAME PANEL
LOCATIONS, AND COMPONENT ELEVATIONS, AND EXISTING STATE
FURNITURE AND EQUIPMENT PLANNED FOR REUSE SHALL BE
CONSIDERED AND SHOWN IN ORDER TO PREPARE COMPLETE, FUNCTIONAL
AND ATTRACTIVE FLOOR PLANS AND SHOULD BE CLEARLY IDENTIFIED
FOR REVIEW.
E. IN REVIEWING PLANS THAT MAY REQUIRE NEW CONSTRUCTION AND
DESIGN, VENDOR/CONTRACTORS SHALL NOTE THE FEASIBILITY OF
USING EXISTING STATE COMPONENTS WHICH SHALL BE SCHEDULED FOR
RE-USE AND CLEARLY NOTED IN THE DESIGN.
F. INSTALLATION DRAWINGS:
CLEAR, CONCISE PLANS AND/OR ELEVATIONS SUITABLE FOR REVIEW BY
THE STATE AND USE BY INSTALLATION CREWS SHALL BE FURNISHED.
G. SPECIFICATIONS AND DRAWINGS:
INCLUDING ELECTRONIC AND REPRODUCIBLE COPIES, SHALL BE
PROVIDED TO USER AGENCIES AND REAL PROPERTY ADMINISTRATION,
DEPARTMENT OF FINANCE AND ADMINISTRATION, THE RESPONSIBLE
AUTHORITY ON ALL DESIGNS AND SPECIFICATIONS. AFTER AWARD, WHEN
THE STATE ELECTS TO USE THIS FEATURE, THE PERCENTAGE QUOTED
BY THE SUCCESSFUL BIDDER WILL BE APPLIED TO THE NET PRODUCT
TOTAL.
H. RE-DESIGN AND RE-INSTALLATION:
DURING THE COURSE OF THE CONTRACT, IT MAY BECOME NECESSARY TO
RE-DESIGN AND/OR RE-INSTALL STATE-OWNED OPEN OFFICE LANDSCAPE
PRODUCTS. ALL DESIGNS AND INSTALLATIONS WOULD REQUIRE PRIOR
APPROVAL OF REAL PROPERTY ADMINISTRATION DIVISION, DEPARTMENT
OF FINANCE AND ADMINISTRATION. THE STATE AGENCY, IN CONJUNC-
TION WITH REAL PROPERTY ADMINISTRATION, DEPARTMENT OF FINANCE
AND ADMINISTRATION, WILL BE RESPONSIBLE FOR MONITORING THESE
JOBS. BIDDERS ARE REQUESTED TO STATE A PRICE PER MAN HOUR

3. THE VENDORS DESIGN STAFF MUST BE ABLE TO PROVIDE DESIGN SERVICES
FOR STATE PROJECTS IN ALL 95 COUNTIES OF TENNESSEE.
OPEN OFFICE LANDSCAPE FURNITURE, TABLE, AND CHAIR
INSTALLATION SPECIFICATIONS
1. AT THE ELECTION OF THE STATE, THE VENDOR/CONTRACTOR WILL BE
RESPONSIBLE FOR RECEIPT OF ALL PRODUCTS, UNLOADING INSIDE DELIVERY
AND PROTECTION OF SAME; COORDINATING DELIVERY TIME WITH REAL
PROPERTY ADMINISTRATION, DEPARTMENT OF FINANCE AND ADMINISTRATION
AND USER AGENCY AT NO ADDITIONAL COST TO THE STATE. THE VENDOR/
CONTRACTOR MUST BE PREPARED TO WAREHOUSE INCOMPLETE SHIPMENTS
UNTIL ALL ESSENTIAL PRODUCTS ARE AVAILABLE FOR COMPLETE
INSTALLATION. WAREHOUSING MAY ALSO BE REQUIRED IF PRODUCT IS NOT
DELIVERED PRECISELY AS ACKNOWLEDGED, OR TO BETTER COORDINATE
INSTALLATION SCHEDULING, OR IF THERE ARE CONSTRUCTION DELAYS.
WAREHOUSING NEEDS WILL BE BASED UPON REASONABLE AND MUTUALLY
AGREED UPON TIME FRAMES. FOR EACH PROJECT, AN INSTALLATION
SCHEDULE WILL BE ESTABLISHED BY REAL PROPERTY ADMINISTRATION,
DEPARTMENT OF FINANCE AND ADMINISTRATION AND ADHERED TO WHENEVER
POSSIBLE.
2. THE CONTRACTOR WILL UTILIZE CREWS EXPERIENCED IN STATE
INSTALLATIONS. THE CONTRACTOR WILL UTILIZE CREWS THAT HAVE BEEN
FACTORY TRAINED ON HOW TO PROPERLY AND SAFELY INSTALL/ASSEMBLE
OPEN OFFICE LANDSCAPE FURNITURE.
3. INSTALLERS WILL BE RESPONSIBLE FOR COORDINATING WITH BUILDING
MANAGEMENT OFFICIALS AND LOCAL MUNICIPAL AUTHORITIES, OBTAINING
ALL NECESSARY PERMITS INCLUDING PARKING AND REQUIRED INSURANCE,
AS APPLICABLE. AWARDED VENDOR IS REMINDED THAT IT IS THEIR RE-
SPONSIBILITY TO OBTAIN AND BE FAMILIAR WITH ANY PARTICULAR LAWS,
RULES OR REGULATIONS PERTAINING TO ACCESS TO BUILDING WORKSITES.
INSTALLATION IS TO INCLUDE CLEAN-UP AND REMOVAL OF ANY AND ALL

AND ADMINISTRATION, STATE OF TENNESSEE.
5. INSTALLATION CREWS MUST HAVE THE ABILITY TO MAKE DELIVERIES AND
INSTALLATIONS IN ALL 95 COUNTIES OF TENNESSEE IF AND WHEN THESE
SERVICES ARE REQUIRED.
6. INSTALLTION CREWS MUST BE READY TO BEGIN WORKING ON STATE PROJECTS
