The following terms, listed either partially or in their entirety, pertain to all individual contracts under this SWC number. Specifications, if present, will follow the terms and conditions. Please refer to the actual contract document for the entire list of the terms and conditions and complete specifications.
THIS CONTRACT IS FOR THE PURCHASE OF REPLACEMENT PARTS FOR STEELCASE
OPEN OFFICE LANDSCAPE PRODUCTS. THIS IS NOT FOR THE PURCHASE OF NEW
PRODUCT TO BUILD NEW CUBICLES. FOR PURCHASE OF NEW PRODUCT FOR NEW
CUBICLES, PLEASE GO TO STATEWIDE CONTRACT 230. THIS CONTRACT IS FOR
USE BY STATE AGENCIES ONLY.
PROHIBITION OF ILLEGAL IMMIGRANTS
THE REQUIREMENTS OF STATE OF TENNESSEE'S PUBLIC ACTS, 2006, CHAPTER
NUMBER 878 AND EXECUTIVE ORDER 41 ADDRESSING THE USE OF ILLEGAL
IMMIGRANTS IN THE PERFORMANCE OF ANY CONTRACT TO SUPPLY GOODS OR
SERVICES TO THE STATE OF TENNESSEE, SHALL BE A MATERIAL PROVISION OF
THIS CONTRACT, A BREACH OF WHICH SHALL BE GROUNDS FOR MONETARY AND
OTHER PENALTIES, UP TO AND INCLUDING TERMINATION OF THIS CONTRACT.
AS REQUIRED BY PUBLIC ACTS, 2006, CHAPTER NUMBER 878, NO PERSON MAY
ENTER INTO A CONTRACT TO SUPPLY GOODS OR SERVICES TO THE STATE WITH-
OUT FIRST ATTESTING IN WRITING THAT THE PERSON WILL NOT KNOWINGLY
UTILIZE THE SERVICES OF ILLEGAL IMMIGRANTS IN THE PERFORMANCE OF THIS
CONTRACT, AND WILL NOT KNOWINGLY UTILIZE THE SERVICES OF ANY
SUBCONTRACTOR WHO WILL UTILIZE THE SERVICES OF ILLEGAL IMMIGRANTS IN
THE PERFORMANCE OF THIS CONTRACT. FOR PURPOSES OF THIS CONTRACT,
"ILLEGAL IMMIGRANT" SHALL BE DEFINED AS ANY PERSON WHO IS NOT
EITHER A UNITED STATES CITIZEN, A LAWFUL PERMANENT RESIDENT, OR A
PERSON WHOSE PHYSICAL PRESENCE IN THE UNITED STATES IS
AUTHORIZED OR ALLOWED BY THE DEPARTMENT OF HOMELAND SECURITY AND WHO,
UNDER FEDERAL IMMIGRATION LAWS AND/OR REGULATIONS, IS AUTHORIZED TO
BE EMPLOYED IN THE U.S. OR IS OTHERWISE AUTHORIZED TO
PROVIDE SERVICES UNDER THE CONTRACT. THE CONTRACTOR HEREBY ATTESTS,
CERTIFIES, WARRANTS, AND ASSURES THAT IT SHALL COMPLY WITH THIS TERM
AND CONDITION FOR THE ENTIRE CONTRACT PERIOD.
THE CONTRACTOR UNDERSTANDS AND AGREES THAT FAILURE TO COMPLY WITH
THIS SECTION WILL BE SUBJECT TO THE SANCTIONS OF PUBLIC CHAPTER 878
OF 2006 FOR ACTS OR OMISSIONS OCCURRING AFTER ITS EFFECTIVE DATE. THIS
LAW REQUIRES THE COMMISSIONER OF FINANCE AND ADMINISTRATION TO
PROHIBIT A CONTRACTOR FROM CONTRACTING WITH, OR SUBMITTING AN OFFER,
PROPOSAL, OR BID TO CONTRACT WITH THE STATE OF TENNESSEE TO SUPPLY
GOODS OR SERVICES FOR A YEAR AFTER A CONTRACTOR IS DISCOVERED TO
HAVE KNOWINGLY USED THE SERVICES OF ILLEGAL IMMIGRANTS DURING THE
PERFORMANCE OF THIS CONTRACT. THE CONTRACTOR MAY APPEAL THE
IMPOSITION OF THE ONE-YEAR PROHIBITION BY UTILIZING AN APPEALS
PROCESS ESTABLISHED BY THE COMMISSIONER OF FINANCE AND ADMINISTRATION.
AS PER EXECUTIVE ORDER 41, THE CONTRACTOR SHALL BE REQUIRED TO SUBMIT
SEMI-ANNUAL ATTESTATION FORMS AND OBTAIN A SIGNED ATTESTATION FORM
FROM ANY SUBCONTRACTOR PRIOR TO THE USE OF THE SUBCONTRACTOR AND SEMI-
ANNUALLY THEREAFTER DURING THE CONTRACT PERIOD. THE RECORDS SHALL BE
SUBJECT TO REVIEW AND RANDOM INSPECTION AT ANY REASONABLE TIME UPON
REASONABLE NOTICE BY THE STATE. RECORDS SHALL INCLUDE BUT ARE NOT
LIMITED TO THE FOLLOWING:
1.) DOCUMENTATION ON CONTRACTORS' EMPLOYEES AND SUBCONTRACTOR
PERSONNEL WORKING ON THIS CONTRACT SHOWING THAT THEY ARE LEGAL
TO WORK IN THE UNITED STATES AND PAYROLL RECORDS.
2.) SIGNED AND DATED ATTESTATION FORMS FOR YOUR COMPANY THAT HAVE
BEEN SUBMITTED TO THE PURCHASING DIVISION AND ATTESTATION FORMS
OBTAINED FROM SUBCONTRACTOR(S).
NOTE: THE CONTRACTOR SHALL BE REQUIRED TO OBTAIN PRIOR APPROVAL TO
SUBCONTRACT FROM THE DEPUTY COMMISSIONER OF GENERAL SERVICES,
PURCHASING DIVISION.
BY AUTHORIZED SIGNATURE ON THIS INVITATION TO BID THE CONTRACTOR
CONSTITUTES SIGNING THE ATTESTATION FORM FOR THE INITIAL SIX (6)
MONTHS OF THE CONTRACT PERIOD. THE CONTRACTOR SHALL BE REQUIRED
TO SUBMIT SIGNED ATTESTATION FORMS ON A SEMI-ANNUAL BASIS FROM THE
START DATE OF THE CONTRACT PERIOD THROUGH TO ITS COMPLETION DATE TO
THE PURCHASING DIVISION. THE ATTESTATION FORM IS LOCATED ON THE
PURCHASING DIVISION WEBSITE: WWW.STATE.TN.US/GENERALSERV/PURCHASING
IN THE EVENT THAT THE CONTRACTOR FAILS TO SUBMIT THE ATTESTATION FORM,
FILLED OUT, DATED AND SIGNED, BY THE END OF ANY SIX MONTH CONTRACT
INTERVAL, THE CONTRACTOR SHALL BE NOTIFIED IN WRITING OF THE
REQUIREMENT TO SUBMIT THE ATTESTATION FORM WITHIN SEVEN (7) CALENDAR
DAYS; FAILURE TO SUBMIT THE ATTESTATION FORM WITHIN THE REQUIRED TIME
FRAME MAY RESULT IN THE CANCELLATION OF THE CONTRACT.
OPEN OFFICE LANDSCAPE FURNITURE, TABLE, AND CHAIR
INSTALLATION SPECIFICATIONS
1. AT THE ELECTION OF THE STATE, THE VENDOR/CONTRACTOR WILL BE
RESPONSIBLE FOR RECEIPT OF ALL PRODUCTS, UNLOADING INSIDE DELIVERY
AND PROTECTION OF SAME; COORDINATING DELIVERY TIME WITH REAL
PROPERTY MANGEMENT, DEPARTMENT OF FINANCE AND ADMINISTRATION AND
USER AGENCY AT NO ADDITIONAL COST TO THE STATE. THE VENDOR/
CONTRACTOR MUST BE PREPARED TO WAREHOUSE INCOMPLETE SHIPMENTS
UNTIL ALL ESSENTIAL PRODUCTS ARE AVAILABLE FOR COMPLETE
INSTALLATION. WAREHOUSING MAY ALSO BE REQUIRED IF PRODUCT IS NOT
DELIVERED PRECISELY AS ACKNOWLEDGED, OR TO BETTER COORDINATE
INSTALLATION SCHEDULING, OR IF THERE ARE CONSTRUCTION DELAYS.
WAREHOUSING NEEDS WILL BE BASED UPON REASONABLE AND MUTUALLY
AGREED UPON TIME FRAMES. FOR EACH PROJECT, AN INSTALLATION
SCHEDULE WILL BE ESTABLISHED BY REAL PROPERTY MANAGEMENT,
DEPARTMENT OF FINANCE AND ADMINISTRATION AND ADHERED TO WHENEVER
POSSIBLE.
2. THE CONTRACTOR WILL UTILIZE CREWS EXPERIENCED IN STATE
INSTALLATIONS. THE CONTRACTOR WILL UTILIZE CREWS THAT HAVE BEEN
FACTORY TRAINED ON HOW TO PROPERLY AND SAFELY INSTALL/ASSEMBLE
OPEN OFFICE LANDSCAPE FURNITURE.
3. INSTALLERS WILL BE RESPONSIBLE FOR COORDINATING WITH BUILDING
MANAGEMENT OFFICIALS AND LOCAL MUNICIPAL AUTHORITIES, OBTAINING
ALL NECESSARY PERMITS INCLUDING PARKING AND REQUIRED INSURANCE,
AS APPLICABLE. AWARDED VENDOR IS REMINDED THAT IT IS THEIR RE-
SPONSIBILITY TO OBTAIN AND BE FAMILIAR WITH ANY PARTICULAR LAWS,
RULES OR REGULATIONS PERTAINING TO ACCESS TO BUILDING WORKSITES.
INSTALLATION IS TO INCLUDE CLEAN-UP AND REMOVAL OF ANY AND ALL
PACKING MATERIALS AND TRASH FROM THE BUILDING UPON COMPLETION OF
THE JOB.
4. ALL LANDSCAPE FURNITURE, TABLES, AND CHAIRS ARE TO BE INSTALLED IN
ACCORDANCE WITH THE INSTALLATION DRAWINGS WHICH ARE FURNISHED AND
APPROVED BY REAL PROPERTY MANAGEMENT, DEPARTMENT OF FINANCE AND
ADMINISTRATION, STATE OF TENNESSEE.
5. INSTALLATION CREWS MUST HAVE THE ABILITY TO MAKE DELIVERIES AND
INSTALLATIONS IN ALL 95 COUNTIES OF TENNESSEE IF AND WHEN THESE
SERVICES ARE REQUIRED.
6. INSTALLTION CREWS MUST BE READY TO BEGIN WORKING ON STATE PROJECTS
WITHIN SIXTY (60) DAYS OF CONTRACT AWARD. EACH INSTALLATION SITE
MUST HAVE AT LEAST ONE (1) FACTORY TRAINED AND CERTIFIED
SUPERVISOR ON SITE AT ALL TIMES. THE SUCCESSFUL VENDOR MUST
HAVE THE CAPABILITY TO INSTALL MULTIPLE SITES AT ONE TIME.
OPEN OFFICE LANDSCAPE DESIGN SPECIFICATIONS
1. DATA BASE:
A. THE STATE WILL UTILIZE AN IN-HOUSE DESIGN STAFF AND COMPUTER-
AIDED-DESIGN SYSTEM (CAD). THEREFORE, WITHIN 45 DAYS OF THE
CONTRACT AWARD, THE VENDOR SHALL SUPPLY AT NO COST TO THE
STATE, A COMPLETE ELECTRONIC DATA BASE, BOTH GRAPHIC AND
CATALOG INFORMATION, THAT IS FULLY COMPATIBLE WITH EITHER
"FIRST PASS" OR "PASS" SOFTWARE PACKAGE AS PRODUCED BY:
DATA ONE, INC.

2. AT THE ELECTION OF THE STATE AND WITH PRIOR APPROVAL OF THE
DIVISION OF REAL PROPERTY MANAGEMENT, DEPARTMENT OF FINANCE AND
ADMINISTRATION, THE VENDOR/CONTRACTOR SHALL PROVIDE FULL DESIGN
SERVICES FROM ABOVE DATA BASE AND TURNED INTO THE STATE IN ELEC-
TRONIC FORMAT TO INCLUDE:
A. PROGRAMMING:
DETERMINING, WITH THE CONSULTATION OF THE USER AGENCY AND THE
OFFICE OF THE DIVISION OF REAL PROPERTY MANAGEMENT, DEPARTMENT
OF FINANCE AND ADMINISTRATION, THE GOALS, OBJECTIVES AND LIMI-
TATIONS. THE ON-SITE INSPECTION WITH FIELD MEASUREMENTS SHALL
BE REQUESTED.
B. COMMUNICATION/ADJACENCY STUDY:
DESIGNS WILL CONSIDER THE ORGANIZATIONAL INTERACTION OF INDIV-
IDUALS AND GROUPS SO THE SPACE PLAN WILL EMPHASIZE, IMPROVE
OR, AT MANAGEMENT'S DIRECTION, ALTER SUCH STUDY.
C. EQUIPMENT NEEDS:
BOTH INDIVIDUAL AND GROUP STANDARDS SHALL BE SET WHERE
POSSIBLE. RECOGNITION OF SIMILAR SOLUTIONS IN OTHER LOCATIONS
AND/OR DEPARTMENTS MAY BE NECESSARY TO INSURE UNIFORMITY.
D. SPACE PLANNING/INTERIOR DESIGN:
PLANS SHOULD INDICATE LOCATION OF ALL EXISTING STRUCTURAL
ELEMENTS AND ANY REQUIRED NEW CONSTRUCTION. IF REQUIRED BY
REAL PROPERTY MANAGEMENT, DEP'T. OF FINANCE AND ADMINISTRATION
ELECTRICLA NEEDS, SPECIAL CONSTRUCTION, AND COLOR COORDINATION
SHALL BE NOTED ON PLANS. PLAN HEIGHTS, COLORS, ACOUSTICAL AND
FABRIC PANEL LOCATIONS, AND COMPONENT ELEVATIONS, AND EXISTING
STATE EQUIPMENT PLANS FOR REUSE SHOULD BE CONSIDERED IN PRE-
PARING COMPLETE, FUNCTIONAL AND ATTRACTIVE PLANS AND SHOULD BE
CLEARLY IDENTIFIED FOR REVIEW.
E. IN REVIEWING PLANS THAT MAY REQUIRE NEW CONSTRUCTION AND
DESIGN, VENDOR/CONTRACTORS SHOULD NOTE THE FEASIBILITY OF
USING EXISTING STATE COMPONENTS WHICH SHOULD BE SCHEDULED FOR
RE-USE AND CLEARLY NOTED IN THE DESIGN.
F. INSTALLATION DRAWINGS:
CLEAR, CONCISE PLAND AND/OR ELEVATIONS SUITABLE FOR REVIEW BY
THE STATE AND USE BY INSTALLATION CREWS SHALL BE FURNISHED
G. SPECIFICATIONS AND DRAWINGS:
INCLUDING REPRODUCIBLE COPIES, SHALL BE PROVIDED TO USER
AGENCIES AND REAL PROPERTY MANAGEMENT DIVISION, DEPARTMENT
OF FINANCE AND ADMINISTRATION, THE RESPONSIBLE AUTHORITY ON
ALL DESIGNS AND SPECIFICATIONS. AFTER AWARD, WHEN THE STATE
ELECTS TO USE THIS FEATURE, THE PERCENTAGE QUOTED BY THE
SUCCESSFUL BIDDER WILL BE APPLIED TO THE NET PRODUCT TOTAL.
H. RE-DESIGN AND RE-INSTALLATION:
DURING THE COURSE OF THE CONTRACT, IT MAY BECOME NECESSARY TO
RE-DESIGN AND/OR RE-INSTALL STATE-OWNED OPEN OFFICE LANDSCAPE
PRODUCTS. ALL DESIGNS AND INSTALLATIONS WOULD REQUIRE PRIOR
APPROVAL OF REAL PROPERTY MANAGEMENT DIVISION, DEPARTMENT OF
FINANCE AND ADMINISTRATION. THE STATE AGENCY, IN CONJUNCTION
WITH THE REAL PROPERTY MANAGEMENT DIVISION, DEP'T. OF FINANCE
AND ADMINISTRATION, WILL BE RESPONSIBLE FOR MONITORING THESE
JOBS. BIDDERS ARE REQUESTED TO STATE A PRICE PER MAN HOUR FOR
RE-DESIGN AND RE-INSTALLATION ON THE QUOTATION SHEET.

THE STATE DESIRES TO HAVE ACCESS TO A FULL LINE OF PRODUCTS.
PRODUCT LINES SHOULD INCLUDE ITEMS OTHER THAN THOSE LISTED ON
ATTACHED PLANS. EXAMPLES OF PRODUCT LINES REQUESTED SHOULD
INCLUDE, BUT NOT NECESSARILY LIMITED TO, THE FOLLOWING ITEMS,

C. NEW OPEN OFFICEE SYSTEM PRODUCTS INTRODUCED AFTER
CONTRACT AWARD

E. REPAIR AND REPLACEMENT PARTS
F. WIRE MANAGEMENT, THROUGH PANEL INTEGRALLY OR ATTACHED
TO SURFACE
G. ANY OTHER ITEMS SUCH AS FREESTANDING DESKS, COMPUTER
FURNITURE AND LABORATORY FURNISHINGS, MAY BE SUBMITTED AS
PART OF THE CATALOG AND WILL BE SUBJECT TO THE DISCOUNT
GIVEN IN RESPONSE TO PARAGRAPH 19, PAGE 4. AT THE OPTION OF
THE STATE, SUCH ITEMS MAY BE PURCHASED, HOWEVER, THE VOLUME
OF SUCH PURCHASES IS EXPECTED TO BE RELATIVELY SMALL IN
PROPORTION TO THE OPEN OFFICE LANDSCAPE SYSTEM PRODUCTS
AND IS NOT EXPECTED TO EXCEED 10%.
3 OPEN OFFICE LANDSCAPE WAREHOUSING SPECIFICATIONS
1. AT THE ELECTION OF THE STATE AND WITH PRIOR APPROVAL FROM
REAL PROPERTY MANAGEMENT, DEPARTMENT OF FINANCE AND ADMINIST-
RATION, THE VENDOR/CONTRACTOR WILL BE REQUIRED TO INVENTORY
AND WAREHOUSE EXCESS STEELCASE PRODUCT.
2. A MONTHLY INVENTORY REPORT WILL BE PROVIDED TO THE STATE USING
A COMPUTERIZED SYSTEM TO BARCODE AND IDENTIFY PRODUCT. THE
VENDOR WILL INVOICE THE STATE MONTHLY, REFERENCING THE PURCHASE
ORDER NUMBER REQUIRED TO AUTHORIZE THESE SERVICES.
A. BARCODE INCOMIMG EXCESS STEELCASE PRODUCT:
THE COST SHALL BE BASED UPON A FLAT DOLLAR AMOUNT PER ITEM.
AN ITEM IS DEFINED AS ANY OPEN OFFICE FURNITURE PRODUCT,
INCLUDING ALL NECESSARY PARTS REQUIRED TO MAKE THAT ITEM
FUNCTION, LISTED IN THE STEELCASE CATALOG WITH A PRODUCT
NUMBER AND PRICE. THE FOLLOWING SERVICES ARE TO BE INCLUDED
IN THE COST PER ITEM:
(1). UNLOADING PRODUCT FROM A TRUCK
(2). RECEIVING AND ASSESSING CONDITION OF PRODUCT
(3). BARCODING AND PLACING PRODUCT INTO INVENTORY SYSTEM
REAL PROPERTY MANAGEMENT WILL BE INVOICED MONTHLY, AS PRODUCT
IS RECEIVED INTO THE VENDOR'S WAREHOUSE. ALL VENDOR INVOICES
ARE TO IDENTIFY THE CORRECT COMMODITY CODE AND PURCHASE ORDER
NUMBER, AS A UNIQUE COMMODITY CODE IS TO BE USED ONLY FOR
INCOMING PRODUCT.
B. BARCODE OUTGOING EXCESS STEELCASE PRODUCT:
THE COST WILL BE BASED UPON A FLAT DOLLAR AMOUNT PER ITEM AS
DEFINED ABOVE. THE FOLLOWING SERVICES ARE TO BE INCLUDED IN
THE COST PER ITEM:
(1). RETRIEVAL OF PRODUCT FROM INVENTORY LOCATION
(2). BARCODING PRODUCT OF INVENTORY
(3). LOADING PRODUCT ONTO A TRUCK
THE REQUESTING STATE AGENCIES WILL BE INVOICED MONTHLY, AS
PRODUCT IS RETRIEVED FROM THE VENDOR'S WAREHOUSE. ALL VENDOR
INVOICES ARE TO IDENTIFY THE CORRECT COMMODITY CODE AND
PURCHASE ORDER NUMBER, AS A UNIQUE COMMODITY CODE IS TO BE
USED ONLY FOR OUTGOING PRODUCT.
C. EXCESS STEELCASE PRODUCT INVENTORY REPORT:
THE VENDOR IS TO PROVIDE REAL PROPERTY MANAGEMENT WITH TWO
(2) MONTHLY COPIES, (ADDITIONAL COPIES UPON REQUEST) OF AN
INVENTORY REPORT DETAILING INCREASES AND DECREASES IN INVENT-
TORY LEVELS, AND SQUARE FOOTAGE USED. IN ADDITION THIS MONTH-
LY REPORT IS TO INCLUDE, BUT IS NOT LIMITED TO:
(1). MODEL NUMBERS AND DESCRIPTION OF PRODUCT
(2). DESCRIPTION OF PRODUCTS CONDITION
(3). CURRENT QUANTITY OF PRODUCT IN INVENTORY
(4). LOCATION OF PRODUCT IN WAREHOUSE
(5). LIST OF PRODUCT WITH CHANGES IN INVENTORY LEVELS
3. REAL PROPERTY MANAGEMENT WILL BE INVOICED MONTHLY FOR STORAGE
AND WAREHOUSING BASED ON A COST PER SQUARE FOOT. ALL VENDOR
INVOICES MUST IDENTIFY THE PURCHASE ORDER NUMBER REQUIRED TO
AUTHORIZE THIS SERVICE. THE FOLLOWING STORAGE AND WAREHOUSING
CONDITIONS ARE REQUIRED:
(1). STORING PRODUCT ON TIERED PALLET RACKS
(2). STORING PRODUCT IN A CLEAN AND SAFE ENVIRONMENT
(3). HANDLING PRODUCT CAREFULLY WITH PROPER EQUIPMENT
